Terms of Service
1. Acceptance
By using SynOct software, services or infrastructure — including TitanOcta, HorizonForums, TitanArray Hosting, TitanDash and any other product we publish (together, "the Platform") — you agree to these Terms. If you do not agree, do not use the Platform.
2. Who we are
The Platform is operated by SynOct LLC, a Maryland limited liability company based in Cumberland, Maryland, USA. "We", "us" and "our" mean SynOct LLC.
3. What TitanOcta is
TitanOcta is local-first AI infrastructure. You run agents on your hardware. We provide the routing engine, agent framework and optional cloud fallback services. Your prompts, session data and memory stay on your machine unless you explicitly configure otherwise.
4. Accounts and access
- Free tiers require no account. You download and run.
- Paid tiers and hosted services require a valid account and payment method.
- You are responsible for your credentials and any activity under your account.
- One account per person. Sharing accounts is not permitted on paid tiers.
5. Telemetry requirement (TitanOcta)
All TitanOcta tiers require submission of hardware and performance telemetry: hardware specifications, model identifiers used during routing, performance and benchmark data, and deployment and crash statistics. This feeds the community benchmark layer. We never collect prompts, session content, API keys or agent memory. See the Telemetry Disclosure.
6. Acceptable use
You agree to use the Platform only for lawful purposes and in compliance with our Acceptable Use Policy. We may suspend access for violations.
7. Intellectual property
- SynOct software, branding and documentation are owned by SynOct LLC, except where a product is released under a stated open licence.
- Your data is yours. We claim no ownership of your prompts, outputs, content or agent configurations.
- Community benchmark data submitted through telemetry is aggregated and anonymised.
8. Paid tiers and hosted services
- Subscriptions are billed monthly through Stripe under SynOct LLC. Prices are listed on the relevant product page.
- You can cancel at any time. Access continues through the end of the billing period.
- We may change pricing with 30 days' notice.
- Refunds are handled case by case.
9. Professional services
Work we do for hire — agents, deployments, sites, communities, operations, advisory — is governed by a written scope agreed by email or contract before work starts. Where that agreement and these Terms conflict, the written scope controls.
10. Service availability
Local functionality runs on your hardware and does not depend on our servers. Cloud fallback and hosted services are provided on a best-effort basis unless a written scope says otherwise; we do not guarantee uptime for cloud routing.
11. Limitation of liability
The Platform is provided "as is". We are not liable for data loss, downtime, hardware damage or any indirect damages arising from its use. Our total liability is limited to the amount you paid us in the 12 months preceding the claim.
12. Termination
You can stop using the Platform at any time. We can terminate or suspend your access for violation of these Terms or the Acceptable Use Policy. On termination, your local data remains yours — we do not have access to it.
13. Changes
We may update these Terms. Material changes will be communicated through the Platform or by email. Continued use after changes constitutes acceptance.
14. Governing law
These Terms are governed by the laws of the State of Florida, United States. Disputes will be resolved in the courts of Florida.
